Please read carefully these Uniquesmm Terms and Conditions of Use (hereinafter referred to as the the “Terms”), Privacy Policy located at https://uniquesmm.agency/privacy-policy/ which are the integral part of these Terms (hereinafter collectively referred to as the “Agreement”) before using the Uniquesmm website located at https://uniquesmm.agency/ (the “Website ”). If you disagree with these Terms, please do not use Uniquesmm Services. 

When we use “We”, “Us”, “Our” or “Uniquesmm” in the text of this Terms we mean Quadropolis Ltd, a company registered in Kazakhstan at 75 Auezovsky Microdistrict 1, apt. 5, Almaty, Kazakhstan,, registration number А10A1T7 and its affiliated companies, which are the developers and the owners of the different products and services under the brand “Uniquesmm”, including but not limited to Uniquesmm Website.

General provisions

The Agreement is a legally binding contract between you as a Client in your natural person capacity (“the Client”, “you” or “your” as the context require), on the one part, and Uniquesmm, on the other part (hereinafter collectively be referred to as the “Parties” and individually as the “Party”) and regulates the mutual rights and duties of the Parties in respect of the use of the Uniquesmm Services. 

The Agreement is a public offer and the Client confirms its adoption and acceptance by clicking the relevant checkbox when creating a personal account.

Use of the website

By using our Website, you confirm that you accept these Terms and Conditions of Use and that you agree to comply with them.

You agree that you are solely responsible for all costs and expenses you may incur in relation to your use of the  Website.

We may prevent or suspend your access to the Website if you do not comply with any part of these Terms and Conditions of Use, any terms or policies to which they refer or any applicable law.

Privacy and personal information

Your privacy and personal information are the priority to us.  The confidentiality-related aspect of the relationship between the Parties shall be regulated by the Privacy Policy accessible at https://uniquesmm.agency/privacy-policy/ and being an integral part of these Terms.

Any personal information that you provide to us will be dealt with in line with our Privacy Policy, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.

Uniquesmm services

Uniquesmm operates a platform for the provision of services related to social media promotion in global Social Networks (Facebook, Instagram, TikTok, Snapchat). The objective of the operation of the Uniquesmm Website is to provide information on the scope of services that Client can order from us. In the context of this, the Website provides information about the social media promotion plans, prices for services and other relevant information.

In regards to social media promotion Uniquesmm provides following Services:

• account audit: includes comprehensive evaluation of Client’s account in specific Social Network,  identifying areas for improvement, analysis of content quality, engagement metrics, audience targeting, and overall account health, providing insights and recommendations for optimization of promotion efficiency;
• content creation: includes development and production of engaging material, such as posts, images, videos and stories, tailored to the target audience;
• advertising campaign: includes a set of promotional activities aimed to reach a target audience and achieve marketing goals, such as running targeted ads, optimizing ads placements and formats, defining campaign budgets, and monitoring performance metrics. 

Depending on Client’s request, Uniquesmm offers following plans of above mentioned Services:

• basic: the smallest of available plans, includes general package of services;
• advanced: medium plan, includes bigger volume of services and additional promotion features;
• premium: the biggest of available plans, includes full scope of specific Service and comprehensive assistance.

Client is able to choose any package of Services, depending on chosen Social Network, some services may be not applicable in specific case.

Use of the services

1. Registration process.

To be able to use our Services, Client must create a personal account by following the procedure shown on the Website. Clients are solely responsible for maintaining the confidentiality of their access codes to their email and personal accounts. Uniquesmm declines all responsibility if the Service is used by people other than Clients, or people authorized by them in possession of their logins and passwords.
If Client forgets his login or password, or these are improperly used by a third party, Client undertakes to inform Uniquesmm as soon as possible by email at hi@uniquesmm.agency.
In order to create a personal account, we’ll need you to provide:

• username;
• e-mail;
• password.

After successful registration you will be able to add your first and last name, birthdate and phone number in account settings.

2. Procedure for making an order.

On the Website, when personal account is already created, Client selects the required package of Services, adds them to the cart. As soon as the final list and amount of Services is defined, you’ll be able to proceed to checkout form, insert your payment credentials and perform the payment according to the displayed price.

After receiving your order and payment, we will move forward with following steps in accordance to the requested Services:

• Getting in touch with the Client and conducting an initial consultation to understand Client’s goals and target audience.
• Creation of SMM strategy based on Client’s objectives.
• Account setup and optimization.
• Creation of relevant content.
• Creation and implementation of advertising campaigns.
• Provision of performance report.

All Services will be provided online, via available tools of communication and cooperation.
Taking into account the specifics of the social media promotion industry, timeframes for providing specific Service are different from case to case, however on the first consultation with Client, when the order is already made, we shall estimate applicable timeframes for each requested Service.

After the ordered Services are provided in full, in case of detection of deficiencies the Client will have 3 business days to request corrections related to provided Services, if any, but not more than 2 in total.

3. Payment for the Services.   

The pricing for our Services is stated on our Website. We reserve the right to modify the pricing for our Services at any time, but any changes will not affect ongoing orders. All prices are listed in the currency specified on our Website and are subject to applicable taxes and fees.

Сlients should make the payment for the Services they select, using available payment methods on our Website. Collection of payments is provided by a third party payment service provider, Uniquesmm does not collect, process or store your banking details. Payment must be made in full before the Services are rendered, unless otherwise agreed upon. Clients will be responsible for any additional fees, such as transaction or currency conversion fees, associated with the payment.

Refunds

Purchased Services cannot be refunded unless the work has not commenced yet. As soon as plan or works, according to the ordered Services, is confirmed and work commences, you will not be entitled to a refund. In case you order several separate Services, performing of a specific Service has not commenced yet and you wish to receive a refund for that Service, you will be entitled to a refund. In case we are not capable, either technically or for any other reason, to provide a specific Service, we shall usually offer an alternative Service instead, or, if alternative is not satisfactory, provide a refund.

We expect you to resolve refund issues first by contacting us before contacting banks or financial institutions with a chargeback request. If for any reason you are entitled to a refund, you need to write to our support email hi@uniquesmm.agency a motivated request for a refund. In case the work has not commenced yet, you should notify us that you wish to obtain a refund within 14 calendar days from the moment of successful payment. When your request is received by us, we will respond to you within 15 business days and may request additional documentation, if necessary, to verify and process the refund. You are obliged to respond no later than 14 calendar days to a letter from us from the moment of its receipt. Refunds, subject to our approval, will be processed within 14 business days from the date you were notified of our positive decision to refund. If you do not notify us in a timely manner that you wish to obtain a refund, you will be deemed to have chosen to retain your order and you will not be entitled to a refund. The Parties may separately negotiate conditions for replacement of ordered Services with other available Services on a case by case basis. In the event that Uniquesmm determines that you are entitled to a refund of all or part of the fees you paid, such refund shall be made using the payment method originally used by you to make your purchase.We have the right, under certain objective reasons and, if it is necessary on its discretion, to make a refund of funds via bank transfer. Furthermore, the refund will be made to the bank details, which have been used by you when paying us the funds for our Services. 

Rights and obligations of the parties

Clients understand and acknowledge that they are responsible for providing accurate, up-to-date and complete information during the registration process and while obtaining our Services. Any information provided by the Client should not be misleading, false, or impersonating another person or entity.
Clients are solely responsible for the content they promote using our Services. They must ensure that the content complies with all applicable laws, regulations, and guidelines, including but not limited to copyright, intellectual property, and privacy laws. Clients must not engage in any activity that infringes upon the rights of others or promotes illegal, harmful, or objectionable content.
Clients retain all intellectual property rights associated with their own content and materials submitted to us.

Client has the right to receive the purchased social media promotion services as described on the Website and in accordance with the agreed-upon terms.
Uniquesmm will deliver the social media promotion services in a professional and timely manner, adhering to industry standards and best practices.
Uniquesmm will make reasonable efforts to ensure the Website is operational and accessible to Clients.
Uniquesmm  will maintain the confidentiality of the Client’s account information and any data provided by the Client, except as required by law or as necessary to provide the requested services.
Uniquesmm has the right to refuse to provide Service to any individual or organization at its sole discretion.

Uniquesmm reserves the right to modify, suspend, or terminate the Website or any of its Services at any time without prior notice.

Ownership of rights, hyperlinks and third-party sites

All rights, including copyright, know-how, trademarks and other intellectual property rights over all material and content including (but not limited to) text, images, web pages, sound, software, software code, interfaces, in and to Website are owned by or licensed to us unless otherwise indicated.

Your use of the Website and its contents grants no rights to you in relation to our intellectual property rights, our other exclusive rights or those rights of third parties in either the Website or its contents.

Where our Website contains links to other websites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.

We have no control over the contents of those sites or resources.

IN NO EVENT WILL UNIQUESMM, OR ANY OF ITS AFFILIATES OR THEIR RESPECTIVE OWNERS, DIRECTORS AND OFFICERS, BE LIABLE TO ANY CLIENT OR ANY THIRD PARTY FOR ANY USE, INTERRUPTION, DELAY, OR INABILITY TO USE  THE WEBSITE; LOST REVENUES OR PROFITS; DELAYS, INTERRUPTION, OR LOSS OF SERVICES, BUSINESS, OR GOODWILL; LOSS OR CORRUPTION OF DATA; LOSS RESULTING FROM SYSTEM OR SYSTEM SERVICE FAILURE, MALFUNCTION, OR SHUTDOWN; FAILURE TO ACCURATELY TRANSFER, READ, OR TRANSMIT INFORMATION; SYSTEM INCOMPATIBILITY OR PROVISION OF INCORRECT COMPATIBILITY INFORMATION; OR BREACHES IN SYSTEM SECURITY; OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, WHETHER ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT UNIQUESMM WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL UNIQUESMM, INCLUDING ANY OF ITS SERVICE PROVIDERS’, BEAR COLLECTIVE AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT OR ITS SUBJECT MATTER, UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE EXCEED $100.00.
THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF THE REMEDIES UNDER THIS AGREEMENT FAIL OF THEIR ESSENTIAL PURPOSE.

WE DO NOT GUARANTEE THAT OUR WEBSITE WILL BE SECURE AND FREE FROM VIRUSES OR ANYTHING ELSE WHICH MAY HAVE A HARMFUL EFFECT ON ANY TECHNOLOGY. YOU MUST USE YOUR OWN VIRUS PROTECTION SOFTWARE WHEN ACCESSING OUR WEBSITE ON YOUR DEVICE.

Clients acknowledge that the success of social media promotions may vary, and we do not guarantee any specific results or outcomes.

Changes to the Terms and conditions of use

We reserve the right to change and update these Terms and Conditions of Use from time to time. In the event of changes made to these Terms, the modified version will be immediately published on the Website. You should regularly review these Terms. If the changes in these Terms are significant, we will do our best to inform you about the changes and to make such changes clearly introduced to you. If changes to these Terms are not significant, we will notify you of such changes by posting the updated Terms on our Website.

Governing law

This Agreement shall be governed by and construed according to the laws of Kazakhstan. For all matters not covered in this Agreement, Parties shall be governed by the laws of Kazakhstan.

Any disputes that may occur as a result of implementation of the present Agreement and other agreements established between the Parties, are resolved in compliance with legislation of Kazakhstan.
